Quarter Finals Next For U15's

After today's U15's 3-2 victory over Birmingham City in the Junior Premier League Cup, manager Liam Brewer spoke to BN.

Liam Brewer
Firstly a few words about the opposition.

"It's Birmingham City, they train and play alongside the acadamy at the main training ground in Birmingham, it's their shadow squad so players in the acadamy drop in and out," Brewer told BN.

"It's a bit similar to our under 18's with a development and a performance team.

"Looking at their form they had nine wins in their last ten games.

"Ours is eight wins and two losses so we're not far off that either.

"We played them last year and lost 10 - 0 first game, then we draw 2-2 late in the season."

What's next in this competition?

"We now go into the quarter finals. Looking at the set up of the Cup competition I think we will play North Somerset who haven't lost this season.

"It will be a bit of a challenge!

"But this is the best team I've ever had, or got together."

Today's Squad
As for the game?

"We built this game up for them, we knew we would have a few fans watching, we knew there would be a couple of directors from the club we're coming up to support them.

"They came out desperate to go, throwing themselves at everything. They are a physical team, they are an agressive team but also a very good footballing team.

"But you didn't really get to see much of that in the first half because they were still in that cloud of playing a big game here.

"Once they settled down, with a few changes as well, that's when they started to be quite dominant and kept hold of the ball a bit more.

"We could have lost that game but if we had we would have been extremely disappointed and would have felt we didn't deserve to."

There are ten games set to take place in the Midland Premier League this afternoon.

Hereford and Coleshill are the only two teams without a match.

Despite only drawing at Stourport last Tuesday, second placed Alvechurch should take all three points at Long Eaton (11th) and therefore close the gap on leaders Hereford to just two points.

Match of the day is at Shepshed Dynamo (4th) who entertain Heanor Town (3rd).

Westfields (17th) might see gate takings rise as Hereford don't have a game. They play Boldmere who are in 12th position.

February Soccer Schools Report

UITC have told BN that they were very pleased with the soccer schools they ran over half-term.

Over 100 children attended over the four days.

This report is from Laura Davies, UITC Football Development Officer.

February Soccer Schools.

During February half term UiTC staff visited venues across Herefordshire to deliver Edgar’s Soccer School programme to children aged 4-11.

Over four days, more than 100 children attended the Soccer Schools. This included re-visiting old venues, Ledbury and Ross-On-Wye.

The week started off in Hereford with the Soccer School taking place at The Hereford Academy, where nearly 40 children were in attendance, plus those from the Development Centre (U8-U11s).

On Wednesday, staff visited John Masefield High School (Halo Leisure Centre) in Ledbury where 27 players turned out for the occasion, in what was a great day with lots of new faces.

The final two days were spent in Ross-On-Wye at John Kyrle High School and Bromyard, with numbers again on the increase in what was a very successful week for Edgar’s Soccer Schools.

Participants at John Kyrle in Ross-On-Wye on Thursday.
Football Development Officer, Laura Davies commented,

“Although it was a demanding week, I’m happy that we delivered to more venues across the county and to see more than 100 participants is fantastic.

“It’s great that our Soccer School programme took place in Ledbury and Ross-On-Wye, as I know these venues were both very popular previously.

“We will evaluate each of the days and look to build on this to provide more footballing opportunities and positive experiences to those within Herefordshire.”

Edgar’s Soccer Schools will return for two week during Easter half term, watch this space for more information!

Seven Minute Feature About Mark Ellis

BBC WM's Adrian Goldberg has featured former Hereford United coach Mark Ellis on his programme this morning.

Ellis has been the subject of several articles in the Hereford Times and Worcester News mainly because of his disputed links with, amidst others, Arsenal.

During several of his BBC Five Live programmes in 2014, Goldberg took the plight of Hereford United seriously and, in particular, looked at the subject of whether former owners Tommy Agombar and Andy Lonsdale were fit and proper persons to run a football club.

The item was broadcast around 1hr 20 min into Goldberg's programme which started at 7am.

Long Hopes To Pip Hereford To The Title

Alvechurch manager Ian Long was disappointed that his side could only draw at Stourport last Tuesday especially as Hereford lost at home to Highgate the same evening.

“I’ve said before that there will be twists and turn before the season ends and Tuesday proved it," Long told the Redditch Standard.

“Nobody would have expected Hereford to lose at home, especially after reaching the FA Vase semi-finals, but it was a missed opportunity for us after we drew against a Stourport team who had to play with ten men.

“That’s football. It’s crazy at times. We’ve still got 17 league games to play, that’s 51 points, so we’re a long way from the real nitty-gritty of the season.

“We’re only just past halfway and there’s so much football to play. I certainly wouldn’t write off Heanor or Sporting Khalsa either and, of course, Hereford have had a fantastic season.

“I don’t think Hereford will drop too many points but if we win those remaining 17 games we will be champions and deserved champions. That would be my biggest achievement. Given the size and stature of Hereford, it would be a fantastic effort if we can pip them to the title.”

Ticket Update From Hereford FC

Here is the latest update from Hereford FC:

Please be aware that the Hereford FC Club Shop will be closed on Friday 26 February.

This is to allow a stock take and restock to place and also to allow club staff to start preparing to sell tickets for the first leg of the FA Vase Semi-Final on Saturday 12 March.

Sales of these tickets will begin at 10am on Monday morning (29 February), with Season Ticket holders having two days to snap up their tickets before they then go on general sale on Wednesday morning (2 March) .

Tickets will be on sale to Season Ticket holders from 10am-4pm on Monday, and 10am-7.15pm on Tuesday ahead of the game against Kington Town in the Herefordshire Challenge Cup. (NB: Tickets for the Kington game can be bought online right now, but are then only likely to be on sale at Edgar Street on the night itself).

Tickets will for the Salisbury home leg will go on general sale – both at Edgar Street and online – on Wednesday on a first come first basis. We do expect this match to be a complete sell-out so supporters are advised to buy tickets at the earliest possible opportunity.

Just as a reminder, at the present time we cannot announce ticketing details for the away leg of the semi-final on Saturday 19 March, as we are awaiting confirmation from Salisbury of our exact allocation of tickets for the match.

The Issues Facing The New HUST Board

With the new HUST board having its first meeting this evening, 'Onlooker' takes a look at issues facing the new board.

The HUST Constitution

This is by far the most important issue facing the new HUST board. The Hereford United Supporters Society Ltd (HUSS?) is governed by a constitution that was signed on 7th September 2013 by Jonathan Hale, George Webb and Martin Watson, all now directors of Hereford FC Ltd. In the constitution the Club is defined as Hereford United FC and HUST (I shall continue to refer to it thus although I cannot find the word Trust anywhere in the document) has the authority to “buy and hold shares in the Club” Rule 6.5. This would appear to question the legality of HUST’s purchases of shares in Hereford FC although Rule 100.1 might provide an escape clause as it permits HUST “to invest the funds of the Society in shares of any company or society.” Redefinition of the Club to include Hereford United FC until December 2014 and Hereford FC thereafter is the first major alteration required.

Rule 5.2 allows HUST to “secure democratic and accountable representation on the Club’s board.” This opportunity never arose with Hereford United FC so it is no surprise that the method of selecting candidates for the Club’s board is missing. With HUST now able to fill three places on the Hereford FC board it is essential that HUST decides whether to recommend to members that candidates for these positions should be HUST board members or simply HUST members. A democratic process covering the selection and approval by the membership of the candidates should be incorporated into the Constitution.

It should be noted that amendments to the original constitution have to be agreed by members through a Special Resolution which will require a 75% vote in favour of the resolution. The quorum for the meeting will require participation in the vote of a third of HUST members eligible to vote based on current membership. To achieve a valid result voting by post, email or by proxy will almost certainly be required.

Share Purchase

The Articles of Association state that the Authorised Share Capital of Hereford FC Ltd is one million £1 shares comprising A Ordinary Shares which can be purchased only by HUST and Ordinary Shares which can be purchased by others. The Articles do not indicate how many shares of the two classes there are but stipulate that HUST can own no more than 50% of the issued share capital and individual shareholders no more than 24%.

The details of the Company’s share capital structure has been announced by various Club Statements. Whether these are backed by board resolutions, and indeed whether they are legally binding, is not known. The initial Statement advised that 250,000 Ordinary shares would be available immediately and 250,000 A Ordinary Shares would be available for HUST to purchase over a three year period. Three founder shareholders each purchased 50,000 Ordinary shares with the remaining 100,000 available for purchase by individual supporters. A further founder investor appeared and was allocated 50,000 shares. Individual supporters purchased 39,000 of the remaining 50,000 shares when they were offered for sale. The Company now wants to issue a further 50,000 shares to another investor thereby increasing the number of Ordinary shares issued to 289,000 with HUST
having the opportunity to buy a similar number of A Ordinary shares with the option to purchase
period extended by two years. HUST has at present purchased 50,000 A Ordinary shares. This leaves HUST with the option to purchase a further 239,000 shares over a period of four to five years.

HUST must decide whether they will realistically be able to find the money for this.

If it seems unlikely that HUST can raise this money they may as well not bother to purchase any further shares because all the benefits of being a shareholder in Hereford FC Ltd have been granted immediately and will not change whether further shares are purchased or not. The benefits mainly involve the right to appoint three of the seven directors on the Hereford FC Board. There could be a case for buying another 40,000 shares which would increase HUST’s shareholding to more than 25% of the shares issued giving it the power to veto any change to the Articles of Association in future. As HUST is the exclusive holder of one of the two classes of share it may possibly have this power already.

If HUST feels it can raise the necessary funds within the timescale set out by the Club it should seek to improve HUST’s power in the decision making of Hereford FC Ltd to apply when it completes the purchase of its’ share allocation. This negotiation should be put in hand immediately. It would be extremely risky to purchase the shares then seek to negotiate improvements, a policy recently advocated by some members of the HUST board.

The Articles of Association

As mentioned previously the Company’s Articles of Association allow HUST to provide three members of the Board. This is a remarkably generous concession as it applies immediately even when HUST has only a nominal shareholding. However, I feel that it is grossly insulting that these nominations can be rejected by the directors representing the founder investors and I would recommend that HUST registers an immediate objection to this clause.

HUST will always be outvoted on the Hereford FC Board as long as the current Articles remain unchanged, even when they have completed their purchase of the 289,000 A Ordinary shares. The appointment of a further HUST director would not improve this situation as the Articles allow the Chairman a second vote in the event of a tied vote. It might therefore be necessary to appoint an Independent director as well as a fourth HUST director and remove the Chairman’s second vote to achieve true equality.

The advice given to the previous HUST board by Supporters Direct and/or others when the Articles were first submitted for approval should be made available to the new board members and further legal advice regarding the current Articles and further share purchases should be obtained if HUST proposes to take up the full share allocation.

Feedback to members

Since the formation of Hereford FC the feedback to members from HUST board meetings and Hereford FC board meetings has been almost non existent. This should be remedied immediately by regular reports of the items discussed at the Board meetings. If HUST members thought they genuinely had a say in the Club through their representatives on the boards of HUST and Hereford FC Ltd and were not just ticket fodder the decline in membership might be arrested.
