Trust resolutions for the HFC AGM

Following a ballot of members in July, HUST are proposing a number of resolutions at the club AGM on December 6th.

"As a democratic Supporters Trust HUST is directed by its membership," says Trust chairman Richard Tomkins "It’s great that members are taking such an interest and we are delighted to be putting forward the resolutions our members have requested and voted on so emphatically. I’d like to take the opportunity to say that we fully appreciate the hard work of all club directors. Their daily contribution is recognised. I hope that the resolution for a fourth HUST nominated director will be seen as offering the chance to share this work as we go forward together."

The resolutions requested by HUST members are as follows:

1. to increase the number of HUST nominated directors to the club board to 4 if and when HUST hold 289,000 shares in Hereford Football Club.

2. to require a special resolution (i.e. a resolution agreed by the >75% of shareholders) in order to change the club colours, the club's name or to move the club from Edgar Street.

In addition to these resolutions requested by members, HUST have proposed an additional change to the club rules, which seeks to ensure that the club board cannot act without the input or presence of at least one HUST Nominated Director and similarly without the presence of at least one director appointed by the ordinary shareholders.

"The 'headline' proposal really, is the fourth director," says Trust Vice-Chair Craig Goodall.  "Trust members have made it clear they feel the Trust should have equal representation of the football club board, and we believe it is a great opportunity to build a genuinely equal partnership between the Trust and the remaining club owners."

The club AGM is on 6th December.  The Trust will be holding an SGM shortly afterwards to discuss the results of the Trust's proposals and potential next steps for the Trust.
